The Zama Zulu Foundation is governed under a dual-tier framework in compliance with King IV Governance Principles and the NPO Act, ensuring a clear separation between strategic oversight and operational execution:

Board of Directors (Oversight Tier)

An independent non-executive Board of 5–9 Directors elected at the Annual General Meeting (AGM) is responsible for strategic direction, legal compliance, fiduciary oversight, and policy formulation. Directors serve fixed two-year terms, renewable for a maximum of two consecutive terms (4 years).

Office Bearers (Operational Tier)

The Executive Management Team, comprising the Chairperson, Vice-Chairperson, Secretary, and Treasurer, manages day-to-day operations and programme delivery. All Office Bearers report directly to the Board.

Financial Controls

All financial transactions require dual-signature authorisation. An independent Professional Accountant or Registered Auditor prepares annual financial statements within six months of financial year-end (1 April – 31 March). The non-distribution principle is strictly enforced — no funds are distributed to members or directors.
